1. Acceptance of Terms

By using our services, you confirm that you are at least 18 years old and have the authority to enter into a binding agreement with ZevGeeks. If you do not agree to these terms, please do not use our website or services.

2. Services

ZevGeeks provides web design, development, branding, SEO, and automation services. The specific scope, timeline, and deliverables for each project will be outlined in a separate Statement of Work (SOW) or proposal provided to the client.

3. Payment Terms

  • Invoicing: Invoices are issued based on the milestones defined in the project Statement of Work (SOW) or service agreement. Payment is required to trigger the start of subsequent project phases.‍
  • Due Date: Unless otherwise specified in a formal contract, all invoices are strictly due within 14 calendar days from the date of issuance.‍
  • Late Payments: We value our client partnerships; however, timely payment is essential to maintaining project momentum. In the event of an overdue balance, ZevGeeks reserves the right to:
    • Pause all active work and withhold deliverables until the account is brought current.
    • Apply a late fee of 5% of the outstanding balance for each month or part thereof that the invoice remains unpaid.
    • Recover any legal or collection agency costs incurred in the pursuit of unpaid debts.

4. Intellectual Property

  • Work Product: Upon receipt of full payment, all custom designs, code, and content created specifically for the client shall become the property of the client.
  • Pre-existing Materials: ZevGeeks retains ownership of all pre-existing tools, code libraries, methodologies, and frameworks used to build your project. We grant you a perpetual, non-exclusive license to use these components as part of your final website.

5. Client Obligations

To ensure project success, clients agree to:

  • Provide all necessary assets (logos, copy, images) in a timely manner.
  • Provide clear and constructive feedback within the agreed-upon project timelines.
  • Ensure they have the legal right to use any materials (images, text) provided to ZevGeeks for the project.

6. Limitation of Liability

ZevGeeks provides its services "as is." While we strive for excellence, we are not liable for:

  • Indirect, incidental, or consequential damages resulting from website downtime, bugs, or business losses.
  • Performance issues related to third-party platforms (e.g., Webflow, hosting providers, or external API integrations).

7. Termination

Either party may terminate a project with [e.g., 14] days' written notice. If the client terminates the project, they remain responsible for paying for all work completed up to the date of termination.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Scotland, United Kingdom. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts in Glasgow.
